Terms of Service

1. Who you're dealing with

1n1.ai is a product of Techalyst Software Inc., a company incorporated in British Columbia, Canada. In these terms, "we," "us," and "1n1.ai" mean Techalyst Software Inc. "You" means the person or organization holding an account.

2. What 1n1.ai does

1n1.ai is a software service that lets you create AI voice agents — for screening, intake, lead capture, scheduled 1on1s, and similar conversational use cases. You configure the agent, share or embed it, and receive transcripts and summaries of the conversations it handles.

3. Your account

• You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use 1n1.ai.
• You're responsible for everything that happens under your account, including activity by people you give access to.
• Keep your password safe. Notify us at hello@1n1.ai if you suspect unauthorized access.
• Provide accurate information when you sign up, and keep it current.

4. Acceptable use

You agree not to use 1n1.ai to:

• Break any law, regulation, or third-party right.
• Send unsolicited bulk communications, scams, or phishing attempts.
• Run voice agents that impersonate real people or organizations without their permission.
• Collect sensitive personal information (health, financial, biometric, or similar) without proper legal basis and disclosures to your callers.
• Deceive or harm callers (including extracting information under false pretenses).
• Probe, scan, or attempt to reverse-engineer the platform, or interfere with other users' service.
• Resell or rebrand the service without our written permission.

You're responsible for telling callers they're speaking with an AI agent where the law requires it (some jurisdictions do).

5. Your content

Anything you create or capture through 1n1.ai — agent configurations, uploaded files, call audio, transcripts, summaries, captured leads — remains your content. You own it.

You grant us the limited license needed to host, transmit, process, and display your content as required to operate the service. This license ends when you delete the content (subject to backup retention windows) or when your account is closed.

You're responsible for ensuring you have the right to upload any files or capture any conversation content under applicable law (including consent rules where relevant).

6. Subscriptions and billing

• 1n1.ai offers a Free tier and paid monthly subscriptions. Current plans and prices are listed at 1n1.ai/#pricing.
• Paid plans are billed monthly through Stripe. You authorize us to charge your payment method for the recurring subscription fee.
• Each plan includes a monthly minutes cap. Conversations pause when you reach your cap; upgrade to keep going.
• Subscriptions renew automatically until you cancel.
• You can change or cancel your plan from the Billing page at any time.
• Upgrades take effect immediately, and you're charged a prorated amount for the remainder of the current billing period.
• Downgrades take effect at the end of the current billing period. You keep your current plan and its limits until then, and we don't issue prorated credits for moving to a lower plan.
• Cancellation takes effect at the end of the current billing period — we don't pro-rate refunds for unused time.
• If a payment fails, we'll retry and notify you. If it continues to fail, we may suspend service until it's resolved.
• We may change pricing for future billing periods with reasonable notice (typically 30 days). Existing subscribers keep their current price for the remainder of the period they've paid for.

7. Free preview tier

The Free tier is offered for personal testing and evaluation. We may impose stricter usage limits, rate limits, or feature restrictions on Free accounts, and may discontinue the Free tier with reasonable notice.

8. Service availability

We work to keep 1n1.ai available, but we don't guarantee uninterrupted access. The service may be unavailable from time to time for maintenance, upgrades, or reasons outside our control (including outages at our cloud providers, AI providers we rely on — Google, OpenAI, Anthropic, xAI — or Stripe). We don't offer a formal SLA at this stage.

9. Third-party services

1n1.ai relies on third-party providers — AI providers Google (Gemini), OpenAI, Anthropic (Claude), and xAI for voice and language processing; Stripe for payments; Resend for email delivery; and cloud hosting. Your use of 1n1.ai is also subject to those providers' applicable terms. We're not responsible for issues caused by them, though we'll work in good faith to resolve them when they affect you.

10. Intellectual property

We own the 1n1.ai platform — including the software, design, brand, and any improvements we make. We grant you a non-exclusive, non-transferable right to use the service while your account is in good standing.

You own your content (see Your content above).

11. Suspension and termination

We may suspend or terminate your account if you breach these terms, if a payment is unpaid for an extended period, or if continued use poses a legal or operational risk. We'll give you reasonable notice and an opportunity to fix the issue where practical. You can close your account at any time from your profile settings.

On termination, you can export your data within a reasonable window. After that, we delete it (subject to retention required by law and the backup window described in our Privacy Policy).

12. Disclaimers

1n1.ai is provided as-is and as-available. We don't warrant that the service will be error-free, secure, or fit for any specific purpose, beyond what applicable consumer law requires.

AI-generated content (transcripts, summaries, lead extraction) may contain errors. Always review important outputs before acting on them. We're not responsible for decisions made based on AI-generated content.

13. Limitation of liability

To the maximum extent allowed by law, our total liability arising from or related to your use of 1n1.ai is limited to the amount you paid us in the twelve months before the event that gave rise to the claim — or one hundred Canadian dollars (CAD $100), whichever is greater.

We aren't liable for indirect, incidental, consequential, special, or exemplary damages (including loss of profits, business, data, or goodwill), even if advised of the possibility.

14. Indemnity

You agree to defend and indemnify us against claims arising from your misuse of the service, your content, or your violation of these terms or any third-party right.

15. Governing law and disputes

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province. Any dispute will be heard exclusively by the courts located in Vancouver, British Columbia, unless local law requires otherwise.

16. Changes to these terms

We may update these terms from time to time. If a change is material, we'll notify you by email or in-app notice before it takes effect. Continued use of the service after the effective date constitutes acceptance.
